On September 18, 2018, the Ministry of Corporate Affairs notified the Limited Liability Partnership (Second Amendment) Rules, 2018 (“Rules 2018”). The Rules 2018 amend the Limited Liability Partnership Rules, 2009, modifying the incorporation related e-form layouts applicable to limited liability partnerships (“LLPs”) and shall come into effect on October 2, 2018. The said Rules 2018 contain changes as detailed below:
introduction of a web service titled Reserve Unique Name – Limited Liability Partnership (“RUN-LLP”) replacing the erstwhile Form 1 (application for reservation or change of name);
introduction of a new integrated form christened Form for Incorporation of Limited Liability Partnership (“FiLLiP”) replacing the erstwhile Form 2 (incorporation document and subscriber’s statement) combining therein 3 services i.e. a) name reservation, b) allotment of Designated Partner Identification Number, c) incorporation of the LLP;
minor modifications have been made to Form 5 (notice for change of name);
Form 17 (application and statement for the conversion of a firm into an LLP; and
Form 18 (application and statement for conversion of a private company/ unlisted public company into an LLP).
The applications which would be submitted using the web-service/eForms viz. RUN-LLP, FiLLiP, Form 17, Form 18 and Form 5 would be processed at a centralised location by the Registrar, Central Registration Centre for and on behalf of the Jurisdictional Registrar.
