She thus added: “We see similarities in terms of the structure adopted for acquisitions. It seems that both groups have been picking significant stakes in fashion houses and in fact controlling stake in many of them. So, in the control deals, while the designers remain the creative heads, the corporate houses would overall be in control.”

Sharing his perspective on the same, Vinod noted that the rider is unlikely to receive damages from a court of law unless he proves that the OEM has fudged the data. He further added that: “..Ola used the personal data in its possession to defend its reputation. Section 43A of the IT Act provides for compensation only if a data fiduciary does not have reasonable security practices and processes in place. Which is not the case here. Also, let’s not forget that the personal data which was disclosed by Ola wasn’t sensitive personal data”.

Sharing his perspective on whether Amazon can bid for Future Retail before the insolvency tribunal, Somdutta noted that, “Amazon by itself cannot submit a resolution plan for Future Retail as a foreign entity is not allowed by India’s laws to be the sole owner of a multi-brand retail business. While foreign investors can be resolution applicants under IBC, it is the sectoral laws that set the investment ceilings.” Further, addressing the legal implications of the Reliance takeover of the Future Retail stores in February this year in the insolvency process, Somdutta added that, “A resolution professional can examine whether any asset has been transferred preferentially or fraudulently in the pre-insolvency resolution period. The resolution professional can move the NCLT to take back these stores if it is established that they have been preferentially or fraudulently transferred.”

Argus Partners has advised HDFC Limited in inking the landmark deal wherein HDFC Limited has entered into an agreement to sell 10% of the fully diluted paid-up share capital of its wholly-owned subsidiary, HDFC Capital Advisors, to an affiliate of the Abu Dhabi Investment Authority (ADIA) for around Rs. 184 Crores. This deal marks the first instance where a sovereign wealth fund has acquired a stake in an Indian General Partner (GP). We have advised Polygenta Technologies Limited (a leading PET recycling company engaged in sustainable circular economy) (“Polygenta”), on Indian law aspects on the external commercial borrowing raised from DEG - German Investment and Development Company mbH and Danish development financier IFU. Polygenta produces rPET chips and sustainable filament yarns for the textile industry from used disposable PET bottles. Customers include several well-known international fashion and sportswear brands. Polygenta has been producing yarns from 100% used plastic bottles. With a portfolio of around EUR 9.2 billion in nearly 80 countries DEG is one of the world's largest private-sector development financiers. IFU is a Development Financial Institution owned by the Government of Denmark. IFU is a self-governing, state-owned fund, whose objective is to promote economic and social development in developing countries. Further, while adding on how 30% tax on VDAs will work, Vinod stated: “A seller would not have to pay this tax if the sale is at a loss, that is, at a price lower than the original purchase price. Since the highest tax rate in India is 30%, this tax is not such a big deal. The only hitch is that, even if a person’s net income is not taxable at 30%, if the assessee has made a profit through the trade of crypto assets, such profit is taxable. Assessees cannot set off the profit from trading cryto-assets against other income streams. It does not matter if the crypto assets are sold through an overseas exchange. As long as the assessee is an Indian resident, this tax will apply”

Advised OAKS Asset Management, an existing shareholder of Incred Financial Services (the retail and MSME lending business of InCred), in a recently concluded deal wherein, InCred Financial Services will merge its non-banking lending business with KKR India Financial Services (“KIFS”). A consortium consisting of the Incred Founder, Bhupinder Singh, as well as existing InCred investors, will own a majority stake post the merger. A consortium led by KKR and comprising existing investors in KIFS will retain a significant minority stake. KKR will be the single largest investor at the time of the transaction’s close and will remain a long-term strategic partner to the business. We advised Mindstone Mall Developers Private Limited, wholly owned subsidiary of The Phoenix Mills Limited, in acquiring approximately 7.48 acres of prime land in Alipore, Kolkata from Linde India Limited, for a total consideration of Rs. 300 crores. The transaction, which would be counted as one of the largest deals in the Eastern India dealing with an outright conveyance, included certain complex regulatory issues. Apart from negotiating and finalising the conveyance deed on behalf of the client, we had also advised and successfully represented the purchaser’s interest before Competent Authority, Urban Land Ceiling Department, in obtaining ULC permission for transfer of land parcel. The article, written by our Managing Partner, Krishnava Dutt on “IBC Suspension: antithetical to pandemic protection", discusses why suspending IBC is counterproductive as restructuring will be the need of the hour. The article proposes that while adversarial action by creditors may be suspended, companies should be allowed to file applications under section 10 at least for their own restructuring. The article also recommends that the proposed pre-pack framework should be immediately introduced and section 29A must be suspended to allow promoters to participate in the restructuring.

IBC: Retrospective Application of Revised Threshold- An Alternate Perspective
In the wake of the Covid-19 pandemic, to protect the interest of MSMEs, the Central Government had increased the threshold of default under Section 4 of IBC from Rs. 1 lac to Rs. 1 crore. The notification, which was issued on March 24, 2020, did not indicate whether the revised threshold would have any retrospective operation. There is a strong presumption of the prospective application of the notification, especially in view of the fact that, where legislature intended an amendment to have a retrospective effect, such retrospective effect have been specifically provided (See, recent amendment to Section 7 for instance). But can there be an alternate argument in favour of retrospective application of the revised threshold? This article has been contributed by Arka Majumdar (Partner).
